Aurora Business Brokers Firm can introduce you to a valuation partner. Compare what you receive now with what you may receive later before accepting an offer that includes seller financing.

A larger price can carry a longer obligation

A seller note means part of your proceeds depends on future repayment. Interest, payment dates, security and default terms matter alongside the total price.

A buyer’s optimistic forecast is not the same as repayment capacity. Review the cash available after operations, working capital and any senior loan payments.

Understand where the note sits in the financing

A buyer’s lender may impose conditions on seller debt. Ask counsel and the lender how payment restrictions, lien priority or a standby period affect your note.

Do not assume a signed note creates the same protection as cash at closing. Your advisors should explain the remedies and the practical risk if payments stop.

Model the cash you can actually use

Compare debt payoff, transaction costs and tax timing for each offer. Your CPA can model the impact of payment structure without treating every deferred payment as a tax benefit.

Set the training and consulting obligations separately. Remaining available to the buyer indefinitely should not be an unpriced condition hidden behind an attractive headline offer.
